On December 26th, NetSuite Inc. (NYSE: N) announced that it had closed on its initial public offering of 6,200,000 shares of common stock at a price of $26.00 per share. NetSuite also announced that the underwriters of the offering exercised in full their option to purchase an additional 930,000 shares of the company's common stock (565,000 shares from the company and 365,000 shares from the selling stockholders), bringing the total initial public offering size to $185.4 million prior to the deduction of underwriting discounts and estimated expenses paid by NetSuite.

Hong Kong tax news: Famously low rates receive further cut
November 13, 2007

According to the annual survey released in November by the government's Census and Statistics Department, Hong Kong is the preferred location for overseas and mainland companies managing their operations in Asia Pacific. The survey reports that the number of regional offices and headquarters has grown by more than 55% percent in the past decade. One of the main drivers is the city’s low tax rates, which the government has just enhanced by announcing a further cut. From the 2007/08 financial year, the top rate for salaries tax will be 15%, while businesses will pay no more than 16.5% in profits tax.  Good news!

As New England area high tech companies deal with VAT (value-added tax) problems in the United Kingdom and continental Europe, the movie Groundhog Day often comes to mind. Just as Bill Murray's character, Phil Connors, found himself repeating the same experiences day-in and day-out, companies, whether first-timers or well established entities, fall into the same avoidable traps. These include an assumption that VAT works just like sales tax in the United States (it doesn't), a belief that VAT doesn't apply to non-European businesses (it does), or a failure to acknowledge that VAT is an inescapable part of doing business in Europe. The pan-Indian festival Deepawali (or Diwali) will be celebrated this year from November 8-11. This family festival of lights marks the beginning of the Hindu New Year, and commemorates the return of Rama to his kingdom. The word 'Deepawali' literally means rows of diyas (clay lamps). Export licenses in the spotlight

Technology companies need to be aware of the requirements and regulations regarding exporting products and technologies around the world. The United States Department of Commerce’s Bureau of Industry and Security (BIS) is responsible for implementing the Export Administration Regulations (EAR). The EAR regulates the export and re-export of most commercial items. Technology companies engaged with United States Federal Government contracts are very familiar with the EAR and the process required for sending their products overseas. However, the regulations apply to all companies sending their technologies around the world.

FIN 48 and International Operations: FASB rule re Accounting for Uncertainty in Income Taxes impacts companies reporting under US GAAP
October 31, 2007

UPDATE NOVEMBER 7, 2007:

The deadline for moving to more rigorous regulations around Accounting for Uncertainty in Income Taxes has been deferred one year for nonpublic entities, and will be effective for years beginning after December 15, 2007, not 2006, as originally stated. 

The Financial Accounting Standards Board issued the delay on November 7 in response to research indicating that many nonpublic companies had not had the necessary time to understand and apply the guidance required by FIN 48, and so were not yet in a position to implement the new rules. Many companies and their accounting staff also learned late in the process that FIN 48 does apply to pass-through entities. The delay grants the time needed to gather the required tech... more >>

FYI - Clocks in Europe put back one week earlier than US
October 29, 2007

For this week only, the UK is four, rather than five, hours ahead of Eastern time, and seven, rather than eight, hours ahead of Pacific time.  This may impact your call schedules etc.  The US reverts to Standard time (puts the clocks back an hour) on Sunday, November 3rd.

In 2007, the United States changed its DST observance. The Energy Policy Act of 2005 mandated that DST would start on the second Sunday in March and end on the first Sunday in November. Previously, the dates were the first Sunday in April and the last Sunday in October.

UK HR News - change in vacation entitlement: New statutory minimum requirements now in place.
October 18, 2007

New UK regulations have come into effect increasing the statutory minimum number of annual leave days to which employees are entitled - from 20 to 28.

Prior to October 1, 2007, employers were required to provide a statutory minimum of 12 vacation days + 8 public/bank holidays, for a total of 20 required days leave. The new regulations entitle employees to a minimum of 20 vacation days + 8 days for bank/public holidays, for a total of 28 days required annual leave.

The increase is occurring in two stages: the first took effect on 1 October 2007, when the legal minimum entitlement increased to a total of 24 days per annum (16 vacation days + 8 public/bank holidays). The second increase will go into effect April 1, 2009, raising the legal minimum to 28 days annual leave (20 vacation days +... more >>

New “Reverse charging” VAT rules in the UK may affect your business

• If your business supplies mobile phones and / or computer chips to UK VAT registered businesses
• If your UK VAT registered business buys mobile phones and / or computer chips from a supplier in excess of £5,000 per order 

Under the reverse charge accounting mechanism, introduced to the UK from 1 June 2007, it is the responsibility of the customer, rather than the supplier, to account to HMRC for VAT on supplies of the specified goods. VAT-registered businesses which sell mobile phones and computer chips now need to consider whether the reverse charge applies to their transactions because they must not charge VAT on their invoices. Telecom optics operator (and HSP client) Infinera launched its IPO last week. Priced $1 above its $10-$12 range, the company's shares posted a 51.58% surge on their first day of trading. Infinera develops technologies to power optical communications networks. The company expects that its addressable market will go from $3.7 billion in 2007 to $13 billion in 2010.

VAT update for clients:

UK Ruling which may positively impact your VAT obligations

If you charge for payments made by credit card or debit card, you may be accounting for VAT on those payments unnecessarily, and a recent ruling in the UK may positively impact your VAT obligations.

An October 2006 case involved HM Revenue & Customs and Bookit, a ticket agent which customarily imposes a separate charge for cinema ticket reservations above the cost of the tickets themselves. HMRC contended that this additional charge was subject to 17.5% VAT, but the court ruled that the additional charge was, in fact, exempt from VAT and that none had to be paid.

The 13th Directive - VAT Reclaim

You may be entitled to recover VAT on expenses incurred in the UK or continental Europe – including expenditures on trade shows, VAT charged by your European suppliers, and even VAT on hotel rooms for the European travel of your US employees.

Through a 13th Directive Reclaim, European Union legislation allows for non-resident EU companies to recover VAT on expenditures incurred in the EU. This can often be a significant recovery, as VAT charges range from 15% to 22% depending on the country. (VAT in the UK, for example, is 17.5%.)
